Welcome to the Writer Agreement for CopyPress. This Agreement constitutes the entire agreement between you (“Writer”) and CopyPress .Notwithstanding the foregoing, CopyPress reserves the right to modify this Agreement at any time, and without prior notice, by posting any such amended terms on its website. Your continued use of the CopyPress website and participation in the CopyPress system indicates your acceptance of the Agreement, and you are responsible for reviewing such terms and conditions from time to time.

1) Services. Company agrees to engage Contractor to perform the services and undertake the duties and responsibilities set forth in Schedule A attached hereto and incorporated herein (collectively, the “Services”) and Contractor agrees to render the Services under the terms and conditions set forth in this Agreement. Contractor will be hired to perform the role of either a writer or an editor and agrees to abide by the guidelines set forth for each role.
1.1 Writers. Contractors hired as a writer agree to, but are not limited to, providing wholly original content which adheres to the current CopyPress writer’s guidelines and client style guide provided with each assignment. It is the Contractors responsibility to review the current CopyPress writer’s guidelines and client style guide before agreeing to accept an assignment.
1.2 Editors. Contractors hired as an editor agree to, but are not limited to, providing editor feedback and reasonable edits to comply with the current CopyPress writer’s guideline and client style guide provided with each assignment. It is the Contractors responsibility to review the current CopyPress writer’s guidelines and client style guide before agreeing to accept an assignment.
2) Term. The term of this Agreement (the “Term”) shall commence as of the date set forth above, and shall remain in full force and effect until terminated by either party as provided herein.
3) Termination. Either party may terminate this Agreement prior to the expiration of the Term upon providing the other party with ten (10) days advance written notice of such party's intent to terminate. Upon termination, any current projects in process shall be completed by Contractor unless otherwise specified by Company. Contractor will be paid for all work properly completed prior to termination.
4) Contractor Payment. Contractor shall receive payment for each article accepted by the client, received by respective deadline, and timely delivered to Company for publication. Contractors shall be paid twice a month depending upon client approval. If contractor has articles client approved during the first half of the month (1st-15th), Contractor shall receive payment on the first day of the following month. If Contractor has articles client approved during the last half of the month (16th-30/31st), Contractor shall receive payment on the 15th of the following month. If scheduled payment days fall on a weekend or a holiday, Contractor will receive the payment the first prior business day. Pay rates will vary depending upon the type of content assigned. Company shall pay Contractor within 30 days of client-approval.
5) Relationship.
5.1 Independent Contractor Status. The parties expressly intend, agree and understand that the relationship between them created by this Agreement is that of owner-independent contractor, and does not constitute a hiring by either party. Contractor does not have any Company title and shall not be an employee, partner or joint venture of Company. Contractor represents to Company that Contractor holds himself/herself out as an independent contractor to other firms and companies, and will continue to do so during the term of this Agreement and thereafter.
5.3 Not Eligible for Benefits. Contractor shall not be treated as an employee of Company for federal or state tax purposes, unemployment or disability benefits, or for any other withholding tax or insurance purposes or any other Company benefits. Contractor is responsible for his or her own worker’s compensation coverage and waives any right to make a claim under Company’s worker’s compensation policy. Contractor shall file all tax returns, forms and filings as may be required for payment of federal, state and municipal income tax as an independent contractor and not as an employee of Company.
6) Conduct of Contractor.
6.1 Control Lies with Contractor. The conduct and control of the Services to be performed by Contractor under this Agreement shall lie with Contractor. Company is interested only in the results obtained under this Agreement and, if otherwise in compliance with the provisions of this Agreement, the manner and means of performing the Services shall be under the sole control of Contractor.
6.2 Ethics, Environment, Health, and Safety Standards. Contractor shall perform the Services in accordance with currently approved methods and ethical standards applicable to the performance of the Services in consultation with Company. In performing its Services, Contractor agrees to observe Company’s rules and regulations, including its environmental, health, safety and security rules and regulations when performing any Services for Company.
7) Indemnification. Contractor shall indemnify, defend and hold harmless Company, its agents and employees from any and all claims, demands, damages, judgments, losses, liabilities and costs, including reasonable attorneys’ fees arising from or in connection with any claims caused by the acts or omissions of Contractor or its employees, agents or customers, or from any breach of this Agreement by Contractor.
8) Rights to Work.
8.1 Original Work/Plagiarism. Contractor represents and warrants to Company that the work of Contractor in performance of services under this Agreement is original work and has not been copied or duplicated from any person or entity including Contractor’s prior work, nor does any such work infringe any patents or copyrights of any other person or entity. Contractor further represents and warrants that all articles and written works it submits to Company under this Agreement have not been plagiarized, including self-plagiarized, are original works of authorship of Contractor and will not infringe any patents or copyrights of any other person or entity. If any act of plagiarism or self-plagiarism is detected in Contractor’s articles or written works, the Company may immediately terminate this Agreement and Contractor will not receive any compensation for any portion of the plagiarized work and will be held liable for all damages to Company resulting from the plagiarism.
8.2 Ownership. Contractor understands that the work and services performed under this Agreement is “work made for hire” as defined under 101 of the 1976 Copyright Act, the products from and ownership of which shall belong exclusively to Company. Contractor hereby assigns to Company all right, title and interest in and to all tangible and intangible work and work products developed or produced under this Agreement by or on behalf of Contractor for Company, and all right, title and interest in and to patents, copyrights, trade secrets, trademarks and other intellectual property derived from such work and work products. Contractor agrees not to assert patents and copyrights owned or controlled by Contractor against Company in connection with any work product or other subject matter directly or indirectly derived from work done hereunder. Contractor may employ similar projects, including content of the same nature as content submitted to Company, for third parties, provided that Contractor will refrain from reprinting, republishing, or permitting any person or entity to reprint or republish any article submitted to Company under this Agreement without the prior written approval of Company.
9) Confidentiality.
9.1 Contractor Information. No information, whether written or oral, provided by Contractor to Company shall be considered confidential information unless such information is owned by Company. Contractor shall not provide any information to Company unless Contractor is entitled or legally authorized to disclose such information or provide such information to Company.
9.2 Covenant Not to Disclose. During the period of this Agreement with Company and at all times thereafter, regardless of the basis for termination, Contractor covenants and agrees that Contractor will not disclose or communicate to any person or entity, for any purpose or reason whatsoever, trade secrets of Company or other confidential information including without limitation, any and all information provided to Contractor regarding the services to be provided by Contractor, the client to whom service are provided, or the nature of the project contemplated by the services, and other technical data or customer information, including without limitation, CMS software. After termination of this Agreement, Contractor shall not retain any document or record of any type or format, including electronic, containing confidential information and shall either destroy any such documents or records or return them to Company.
9.3 Covenant to Safeguard. Contractor will take the necessary safeguards to maintain any trade secrets or confidential information in a secure manner and to prevent the observation of such information by any party outside this Agreement.
9.4Company’s Remedies. The parties recognize that irreparable injury will result to Company, its business and property and its clients in the event of a breach of this Agreement by Contractor, and that this Agreement is an inducement to Company to hire Contractor. It is hereby agreed that in the event of breach, Company shall be entitled, in addition to any other remedies and damages available, to an injunction to restrain the violation thereof by Contractor and all other persons acting for or with Contractor. No action hereunder by Company shall constitute an election by Company to forego other remedies and Company shall have the right to assert other claims and remedies, including all other remedies available at equity or law.
10. Covenants Not to Compete. During the Term of this Agreement, and for a period of one year thereafter, Contractor, whether acting in Contractor's individual capacity or acting directly or indirectly as an employee, officer, director, majority shareholder, consultant, or otherwise for any person, firm or entity, will abide by the following covenants:
10.1 No Contact or Solicitation. Contractor covenants and agrees that Contractor will not directly or indirectly contact or solicit work, projects or assignments of any nature or type from any client of Company, whether or not Contractor was introduced to the client by Company, or if Contractor introduced Company to the client. It is acknowledged that if Contractor was responsible for bringing a client to Company, and services were performed by Contractor, the client relationship is deemed to transfer to Company. Contractor will not directly or indirectly induce, or attempt to induce, any client, former client or professional references and referral sources of Company to reduce the level of business with or to cease or refrain from doing business with Company, or in any way to interfere or attempt to interfere with the business or professional relationship between Company, its affiliates and any such persons. Contractor will not directly or indirectly induce or attempt to induce, proselyte, or hire for any purpose any of the employees, agents or independent contractors of Company, and will not attempt to alienate any such persons from Company, or otherwise attempt to interfere with the relationship between Company and any such persons.
10.2 No Services for Customers. Contractor covenants and agrees that Contractor will not directly or indirectly become employed with, provide services for, or consult with any client of Company, where any such employment, services or consultation are within the scope of services which reasonably could be provided by Company, even if Contractor introduced the client to Company, it being acknowledged that at the time Company contracted with a client that any relationship with Contractor is deemed to be transferred to the Company.
11. Attorneys’ Fees. In the event either party shall commence any arbitration, actionor proceeding against the other party by reason of any breach or claimed breach in the performance of this Agreement, or to see a judicial declaration of rights hereunder, the prevailing party in such action, as determined by the court or arbitrator, shall be entitled to recover reasonable costs and attorneys’ fees.
12. Outsourcing. CopyPress requires each piece of content submitted by its original approved Contractor. Outsourcing any work is strictly prohibited. You may not assign your assignments to other Contractors with the intent to submit as your own. Any sign that you have submitted work not created solely by you may result in account termination.
13. Governing Law. All dispute, claims, actions, resolutions, and other matters including, but not limited to those arising from this Agreement shall be interpreted and enforced in accordance with the laws of the State of Florida, United States of America. Any action here under shall be brought solely within the State of Florida, United States of America. The parties submit to the jurisdiction of the courts in such jurisdictions.
14. Interpretation. As each party has had opportunity to consult counsel, any rule of construction to the effect that any ambiguities are to be resolved against the drafting party shall not be employed in the interpretation of this Agreement.
15. Entire Agreement. This Agreement constitutes the entire agreement between the parties as to the matters covered in this Agreement, and may be waived, modified or amended only by an agreement in writing signed by both parties and referring to this Agreement.
16. Severability. If any term, provision, covenant or condition of this Agreement is held by a court of competent jurisdiction to be invalid, void or unenforceable, the remaining portions of this Agreement shall remain in full force and effect and shall not be affected or invalidated.
17. Assignment. This Agreement shall inure to the benefit of, and be binding upon, the successors and assigns of the parties hereto. Except as provided herein, this Agreement may not be assigned by Contractor.
18. Waiver. No covenant, term or condition of this Agreement or breach thereof shall be deemed waived unless the waiver is in writing, signed by the party against whom enforcement is sought, and any waiver shall not be deemed to be a waiver of any preceding or succeeding breach of the same or any other covenant, term or condition.
19.Notices. All notices and other communications required or permitted to be given under this Agreement shall be in writing and shall be deemed to have been given if delivered personally or sent by first class mail, postage prepaid, to the parties at the following addresses or to such other address as either party to this Agreement shall specify by notice to the other:

21. Time of the Essence. Time is of the essence in construing each and every provision of this Agreement.
22. Counterparts. This Agreement may be executed in counterparts.
(Services to be performed by Contractor)

The services to be performed by contractor will consist of creating and editing original content to be displayed on internet web pages for customers. This original content includes, but is not limited to, written articles or work product, photographs, and artwork. The specific web pages for which Contractor will create content will be assigned by the Company to Contractor. The Company will assign Contractor a deadline by which each page of content written by Contractor for a customer shall be completed.
Contractors hired as a writer will be expected to provide original content and make reasonable edits to their content as instructed an editor. Contractors hired as an editor will be expected to submit revision requests to writers when writer fails to adhere to the current CopyPress style guide and/or client style guide, disobeys previous outlines and/or submits poorly written content.

What is CopyPress?

Can anyone submit content?

Only CopyPress writers are eligible to submit content.

How do I submit my content?

All content is submitted through our Content Management System. Once hired, you will receive a username and password to the CMS.

Can I choose the topics I write about?

Our Production Managers assign work to writers based upon their specialties and experience level. If we have assignments that match your background, you will be notified and given the opportunity to accept or reject the assignment within 12 hours.

How do I receive assignments?

Our Production Managers distribute content to our team of writers. If an assignment is available that matches your experience and availability they will assign it to you. You will receive notifications when a new assignment has been assigned.

Who will see my assignments once they are submitted?

Once an article is submitted, your assigned editor will review it. Once the editing process is complete (72 hours) it will be sent to the client for their approval. Once the client approves the article they will publish it.

Does CopyPress own my articles?

Yes. All submissions become the property of CopyPress.

Can I submit articles to CopyPress that I've submitted elsewhere?

No. CopyPress requires all writers to submit wholly original content that has not been published or distributed elsewhere.

Can I publish my articles elsewhere once I've submitted them to CopyPress?

No. Articles that you submit to CopyPress may not be republished or redistributed.

How much will my work be edited?

We adhere to specific editorial standards which must be completely met prior to accepting an article and sending it to the client for publication. Typically, the editorial process will take about 3 business days. During this process, our editor will edit articles for spelling, grammar, accuracy, structure, flow, etc. At times this process may require the writer to fulfilling edit requests and other times where the articles will be approved as is or changed by the editor.

Is there a minimum number of assignments I'm required to write each week?

We ask that you be available to write at least 10 articles a week when needed.

How long is the application process?

I am not a U.S. Citizen. Can I write for CopyPress?

Yes. CopyPress does hire writers outside of the United States for clients who also reside outside of the United States. All writers who are not U.S. Citizens must be authorized to work in the United States.

I do not live in the United States. Can I write for CopyPress?

Yes. CopyPress does hire writers who live outside of the United States. All writers who reside outside of the United States must be authorized to work in the United States.

How often will I get paid?

CopyPress offers two monthly payments, on the 1st and 15th of each month. If the 1st or 15th falls on a weekend or Holiday CopyPress will schedule your payment for the first prior business day.

What forms of payment are offered?

CopyPress offers direct deposit and PayPal payments. If you wish to receive direct deposit you must complete a form and provide a copy of a voided check.

Does submitting an article mean I'll automatically be paid for that article?

You will be paid for all client approved articles.

How does CopyPress handle taxes?

You will be responsible for taxes on the income you receive from CopyPress. We require all writers to submit an electronic W-9 form before officially being hired. We will distribute 1099 forms for writers earning at least $600 in a calendar year. Further questions regarding your taxes should be discussed with your tax consultant.

Will I receive tax documents from  CopyPress at the end of the year?

Yes. If you have earned at least $600 in a calendar year we will send you the 1099 form to the name and address you have listed on your W9 form.

What HR forms are required to become a writer?

Contractor agreement, W9 Form, and Direct Deposit form.

Why does CopyPress require a W9 form?

CopyPress requires W9 forms to comply with the IRS standards. If we pay you at least $600 in a calendar year we will need to file a 1099 form with the IRS.

What does CopyPress do with the personal information provided on the W9 Form?

CopyPress stores your personal information electronically with confidential accounts. We will only share your personal information with the IRS in the event we will need to file a 1099 form for you.

Can I provide my business information on my W9 rather than my personal information?

Yes. You can submit your business information on your W9 form. However, the information you provide will provide the legal business information (name, address, etc) that corresponds to your business's EIN.
